4.3 Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information necessary for the delivery of Services
  • Grant necessary access to your platforms, accounts, and systems as required for service delivery
  • Respond promptly to requests for approvals, feedback, and information
  • Ensure that all materials you provide to us do not infringe upon any third-party rights
  • Comply with all applicable laws and regulations in relation to your business and use of our Services
  • Pay all fees as agreed in the Service Agreement

4.4 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. We will provide reasonable notice of any material changes that affect ongoing client engagements.

5. Intellectual Property

5.1 Website Content

All content on this Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of Chraedon or its content suppliers and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

6. Payment Terms

  • Invoicing: Invoices will be issued as specified in your Service Agreement.
  • Payment Due: Unless otherwise agreed, payment is due within 14 days of invoice date.
  • Late Payment: We reserve the right to charge interest on overdue amounts at 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Deposits: We may require a deposit before commencing work, as specified in your Service Agreement.
  • Currencies: All fees are quoted in GBP (£) unless otherwise stated.

7. Limitation of Liability

7.1 Website Use

The Website and its content are provided on an "as is" and "as available" basis without any warranties, express or implied. We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.

7.2 Services

  • Any Client Materials you provide that infringe upon third-party rights
  • Any content or data you transmit through the Website

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship. This includes, but is not limited to:

  • Business strategies, plans, and financial information
  • Client data and customer information
  • Technical information and methodologies
  • Pricing and contract terms

The obligation of confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Termination

Provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and any other provisions that by their nature should survive termination shall survive the termination of these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue formal legal proceedings in accordance with Section 11.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with any applicable Service Agreement and our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Chraedon regarding your use of the Website and Services, and supersede all prior agreements and understandings.

15. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Chraedon.

16. Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction.

17. Changes to Terms
